1. Introduction and Acceptance of Terms
This document is a legally binding electronic agreement between the User and YOUTHATLAS (the "Company" or "Developer"). It governs the use of the CLinqUp mobile application and associated digital platforms. By downloading, installing, or accessing CLinqUp, the User acknowledges they have read, understood, and unequivocally agreed to be bound by these Terms and Conditions in English (United Kingdom) . These terms apply to all stakeholders, including but not limited to Owners, Dealers/Brokers, Developers, and Investors. If you do not agree to these terms, you are prohibited from using the platform and must delete the application immediately.
2. Corporate Identity and Service Description
The service is provided by YOUTHATLAS. CLinqUp is a real-time, multi-party negotiation and communication interface specifically engineered for the commercial and industrial real estate marketplace. The platform facilitates "discussion-driven discovery," moving beyond static listings to active deal-building through collaborative group chats. The Company exclusively services the following asset classes:
- Factories: Manufacturing units and industrial production facilities.
- Warehouses: Logistics hubs, distribution centres, and cold storage units.
- Commercial Shops/Spaces: High-street retail and business complex units.
- Plots/Land: Greenfield land, MIDC/SEZ plots, and industrial-zoned parcels.
3. User Eligibility and Account Registration
Use of this platform is restricted to individuals or entities with the legal capacity to enter into binding commercial contracts under Indian law. Users must be at least 18 years of age. Registration requires the provision of a legal name, mobile phone number, and a designated professional role (Owner, Dealer, Developer, or Investor).Users are solely responsible for maintaining the confidentiality of their account credentials. The Company is not liable for any unauthorised access resulting from User negligence.
4. The Intermediary Role and Disclaimer
YouthAtlas operates strictly as an intermediary networking platform under Section 79 of the Information Technology Act, 2000. It does not act as a real estate agent, broker, or legal representative.
- No Due Diligence: The Company does not verify legal titles, municipal compliance, or the creditworthiness of any User or property.
- Transaction Neutrality: YouthAtlas is not a party to any lease, sale, or agreement resulting from interactions on the platform.
IMPORTANT NOTICE: INDEPENDENT NEGOTIATION
All deals on CLinqUp are "built" exclusively through independent user-to-user conversations. YouthAtlas assumes no responsibility for the legal or financial outcome of these discussions. Users engage in negotiations entirely at their own risk.
5. Acceptable Use and Commercial Restriction
The platform maintains a Strict Commercial/Industrial Only policy..
- Property Listings vs. Customer Leads: The platform distinguishes between "Listed Properties" (supply) and "Customer Leads/Requirements" (demand). Misrepresenting a lead as a listing or vice-versa is a violation of these terms.
- Prohibited Conduct: Users shall not misrepresent property dimensions, spam group chats, or harvest User data for external marketing databases.
6. Group Chats, Moderation, and Visibility
The platform utilize an "Auto Group Chat" mechanism where every listing or requirement generates a dedicated negotiation space.
- Encryption Disclosure: Group chats are NOT end-to-end encrypted. All communications are stored and visible to system administrators for moderation and platform integrity purposes.
- Moderation & "Dead Chat" Policy: Admins monitor response times and engagement. In the event of a "Dead Chat" (inactivity) or if a query remains unanswered, the system may automatically assign a task to the Company's support team to intervene and facilitate the conversation.
- Professional Transparency: Discussion threads are transparent to all relevant industry professionals who join the chat, intended to reduce information asymmetry.
7. Wallet, Coins, and Paid Services
CLinqUp utilizes an in-app "Wallet" and "Coin" system for premium services. The conversion rate is established at ₹1.00 = 24 Coins (e.g., ₹1,000 for 24,000 coins). *conditions applied

8. Advertisement and Listing Limitations
To ensure market accuracy, the following duration limits apply to featured content:
- Window of Exposure: Properties or requirements may only be advertised or featured for a minimum of 15 days up to a maximum of 90 days per instance.
- Expiry Protocols: Users will receive "Listing Expiring Soon" or "Ad Expiring Soon" notifications. Failure to renew within the allotted window will result in the immediate cessation of premium visibility.
9. Intellectual Property Rights
All proprietary content, including "CLinqUp Insights," market intelligence, editorial blog content, and platform interface designs, are the exclusive intellectual property of YouthAtlas. Reproduction, scraping, or redistribution of these materials without express written consent is strictly prohibited and subject to legal action.
10. Data Privacy and Safety
CRITICAL SECURITY DISCLOSURE: DATA IS NOT ENCRYPTED IN TRANSIT.
Users acknowledge and accept that transmission of sensitive commercial information is done at the User's own risk. YouthAtlas tracks User activity through analytics for platform optimisation, including: Interaction metrics, Chat response times, Market demand data, and Shortlisting activity. Data Deletion: To request the removal of an account and associated personal data, Users must email clinqup@gmail.com .
11. Limitation of Liability and Indemnity
To the fullest extent permitted by Indian law, YouthAtlas shall not be liable for direct, indirect, or consequential losses, including lost profits or data breaches, arising from: 1. The absence of transit encryption. 2. The conduct of third parties or the failure of negotiated deals. 3. Inaccuracies in User-posted "Customer Leads" or "Listed Properties." Indemnity: Users agree to indemnify YouthAtlas against all claims, legal fees, or damages resulting from their conduct in group chats or their listings on the platform.
12. Governing Law and Jurisdiction
These terms are governed by the Laws of India. Any disputes, controversies, or legal proceedings shall be subject to the exclusive jurisdiction of the courts in Sonepat, Haryana.
